Description of Service

UprezIt provides a software-as-a-service (SaaS) platform accessible via https://uprezit.com. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our platform in accordance with these Terms for the duration of your subscription or account.

UprezIt provides a service that utilizes artificial intelligence to upscale and enhance images. Users may upload a low-resolution image and, in return, receive a high-resolution enhanced version of the submitted image.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice where practicable.

Account Registration and Security

To access certain features of our services, you may be required to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration

• Maintain and promptly update your account information

• Keep your password secure and confidential

• Not share your account credentials with any third party

• Notify us immediately of any unauthorized use of your account

• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or in violation of these Terms.

Payment Terms

Subscription Billing

Our services are offered on a subscription basis. By subscribing, you agree to pay the applicable subscription fees. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

• Billing Cycle: Your subscription will be billed in advance on a recurring basis according to the billing cycle you selected at the time of purchase.

• Price Changes: We may change subscription fees upon reasonable notice. Price changes will take effect at the start of your next billing cycle following the notice.

• Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at support@uprezit.com. Cancellation takes effect at the end of your current billing period.

General Payment Terms

• All fees are exclusive of applicable taxes, which will be added where required by law.

• Payment must be made using the payment methods accepted on our platform.

• You are responsible for providing accurate billing information.

• Failed payments may result in suspension or termination of your access to paid features.

Refund Policy

Refund requests are evaluated on a case-by-case basis. To request a refund, contact us at support@uprezit.com with your order details and the reason for your request. We will respond within 5 business days.

Acceptable Use and User Content

Acceptable Use

You agree not to use our services to:

• Upload, transmit, or distribute content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable

• Violate any applicable local, state, national, or international law

• Infringe upon the intellectual property rights of others

• Distribute malware, viruses, or other harmful software

• Attempt to gain unauthorized access to our systems or other users' accounts

• Interfere with or disrupt the integrity or performance of our services

• Engage in any activity that could damage, disable, or impair our services

User Content License

Content you submit or upload to our services ("User Content") is processed solely to deliver the service you requested. We do not retain, display, or distribute your User Content beyond what is necessary to fulfill your request. You retain all ownership rights in your User Content.

Content Moderation

We reserve the right, but are not obligated, to review, edit, or remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We are not responsible for any User Content posted by users of our services.

DMCA Notice

If you believe that content available on our services infringes your copyright, please send a notice to our designated agent at support@uprezit.com with the following information:

1. A description of the copyrighted work you claim has been infringed
2. A description of where the allegedly infringing material is located
3. Your contact information (name, address, phone, email)
4. A statement that you have a good faith belief that the use is not authorized
5. A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
6. Your physical or electronic signature

Intellectual Property

All content, features, and functionality of our services - including text, graphics, logos, icons, images, software, and underlying code - are owned by UprezIt or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Output Ownership

All output generated through the Service based on your inputs (including but not limited to documents, images, audio files, and processed content) is owned by you. We claim no ownership rights over content generated for you through the Service.

You are granted a perpetual, worldwide, non-exclusive license to use, modify, reproduce, and distribute any output generated through the Service for any lawful purpose, including commercial use, without attribution to UprezIt.

Output is retained in accordance with the file retention terms described in the File Processing and Storage section below.

File Processing and Storage

When you upload files to the Service for processing (such as images, audio, documents, or other content), we handle them as follows:

• Processing: Your files are processed on our servers solely to deliver the requested service.

• Retention: Your uploaded files and generated output are retained to enable re-download and service continuity. You may request deletion of your files at any time by contacting us at support@uprezit.com. Upon request, files will be permanently deleted within 30 days.

• No Training: We do not use your uploaded files to train artificial intelligence models, machine learning systems, or for any purpose other than delivering the requested service.

• No Sharing: Your uploaded files are not shared with, sold to, or accessed by any third party, except as necessary to process your request (for example, a third-party processing service used to deliver your results).

Artificial Intelligence and Automated Processing

This Service uses artificial intelligence (AI) and/or machine learning technologies to process your requests and deliver results.

• AI-generated output is provided on an "as is" basis. While we strive for accuracy, we do not guarantee that AI-generated content is error-free, complete, or suitable for any particular purpose. You are responsible for reviewing all output before use.

• We do not use your personal data or uploaded content to train or improve AI models.

Service Level and Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We are not liable for any downtime, whether scheduled for maintenance or caused by factors beyond our reasonable control.

We may perform scheduled maintenance from time to time, during which the service may be temporarily unavailable. We will make reasonable efforts to provide advance notice of planned maintenance.

Termination

We may suspend or terminate your account and access to our services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us at support@uprezit.com.

Upon termination:

• Your right to access and use our services will immediately cease

• We may delete your account data after a reasonable retention period

• You may request a copy of your data before termination, and we will provide it in a commonly used format within 30 days

• Any provisions of these Terms that by their nature should survive termination will remain in effect

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UprezIt AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM:

• YOUR USE OF OR INABILITY TO USE OUR SERVICES

• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR PERSONAL INFORMATION

• ANY INTERRUPTION OR CESSATION OF OUR SERVICES

• ANY ERRORS OR OMISSIONS IN OUR SERVICES

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless UprezIt and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of our services

• Your violation of these Terms

• Any content you upload or submit to our services

• Your violation of any rights of a third party

Dispute Resolution

Jurisdiction

Any dispute arising out of or relating to these Terms shall be resolved exclusively in the courts located in California. You consent to the personal jurisdiction of such courts and waive any objection to venue.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of California, without regard to its conflict of law provisions.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and sending a notification to your registered email address. Your continued use of our services after such changes constitutes your acceptance of the revised Terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be enforced to the maximum extent possible, and the other provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms or subscription agreements, constitute the entire agreement between you and UprezIt regarding our services.
